These Terms and Conditions ("Terms") govern your use of the Mendalia Platform ("Platform"), which is owned and operated by Sirohi Corporation Pty Ltd (ABN 73 683 661 181), a private company registered in South Australia, Australia ("Company", "we", "us").
By accessing, browsing, or using Mendalia, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.
1. DEFINITIONS

"Platform" refers to Mendalia and all associated web, cloud, mobile, AI-powered, and backend services.

"Company" refers to Sirohi Corporation Pty Ltd.

"User" means any individual or organisation accessing or using the Platform.

"Healthcare Provider" means a licensed clinician, specialist, medical institution, or support staff authorised to use the Platform.

"Patient Data" means any data, information, documents, or media related to individual patients.

"Content" means all features, interfaces, outputs, text, images, audio, video, code, AI responses, prompts, models, and APIs.

"Third-Party Services" refers to any external services, systems, or applications integrated into or interacting with Mendalia.

"Personal Information" has the same meaning as defined in the Australian Privacy Act 1988.
2. ACCEPTANCE OF TERMS
2.1. By using the Platform, you confirm you have read, understood, and agree to these Terms and our Privacy Policy.
2.2. If you are using Mendalia on behalf of an entity (clinic, hospital, institution), you represent that you have the authority to bind that entity.
2.3. These Terms apply to all Users including individuals, groups, enterprises, hospitals, and integrated partners.
3. SERVICE DESCRIPTION
3.1. Mendalia provides an AI-powered clinical support system intended to assist medical professionals in:

Symptom pattern identification

Preliminary differential suggestions

Real-time medical report summarisation

Contextual prompts during patient consultations

Patient triage and clinical prioritisation support
3.2. Mendalia is not a medical device, prescriber, or diagnostic service.
3.3. Mendalia is not a substitute for medical education, formal medical opinion, or emergency clinical escalation.
3.4. Mendalia must only be used by, or under the supervision of, licensed healthcare professionals.
3.5. No doctor-patient relationship is formed between Mendalia and end patients.
4. USER ELIGIBILITY
4.1. You must:

Be 18 years or older

Hold appropriate medical licensure (where applicable)

Use Mendalia in accordance with all local health regulations

Be fully responsible for decisions made using Mendalia’s outputs
4.2. You may not use the Platform:

To treat or diagnose patients directly without clinical oversight

To replace human consultation in emergency or life-threatening conditions
-
For purposes outside licensed clinical use (e.g., consumer health, litigation, self-diagnosis)
5. LICENSE AND USAGE RESTRICTIONS
5.1. You are granted a limited, non-exclusive, non-transferable license to use Mendalia solely for clinical support.
5.2. You may not:

Reverse engineer, clone, or reproduce the AI models, software, or source code

Sell, rent, lease, sublicense, or assign your access

Copy, scrape, store, or repurpose AI-generated outputs without consent

Misrepresent Mendalia’s capabilities to patients or colleagues

Use Mendalia to develop competing products
6. DATA USE, STORAGE & PRIVACY
6.1. Mendalia adheres to:

HIPAA (for U.S. users)

GDPR (for EU users)
6.2. By default, Mendalia does not store any patient data unless explicitly enabled by the User.
6.3. If storage is enabled:

All data is encrypted at rest and in transit

Data is stored locally within your jurisdiction

Data is never shared with or sold to third parties

Data remains your property and under your full control
6.4. Anonymised data may be used to improve platform stability and security — only with explicit consent.
6.5. Users are responsible for acquiring lawful consent from patients, where required, and complying with data protection laws.
7. AI OUTPUT DISCLAIMER
7.1. The AI engine is probabilistic, not deterministic, and may produce:

Incomplete or outdated information

Incorrect inferences or clinical inaccuracies

Suggestions not suitable for specific patient contexts
7.2. All outputs must be critically evaluated. They are not intended as clinical conclusions or definitive decisions.
7.3. You are solely responsible for all medical decisions, actions, or omissions made while using Mendalia.
7.4. Mendalia is a clinical decision support tool, not a replacement for professional medical judgment.
8. SECURITY
8.1. We apply ISO/IEC 27001-grade encryption standards and follow industry-leading best practices for:

Audit logging and traceability
8.2. Users must:

Maintain strict account security

Use multi-factor authentication where applicable

Immediately report unauthorised access or data breaches
9. SUBSCRIPTIONS, BILLING, AND RENEWALS
9.1. Subscription models, payment terms, and applicable taxes (e.g., GST) are displayed on our pricing page or customised quotes.
9.2. All fees are due as outlined in the subscription agreement.
9.3. Refunds are not provided unless required by law or explicitly stated in writing.
9.4. Trial plans are discretionary and may be modified without notice.
10. THIRD-PARTY SERVICES & INTEGRATIONS
10.1. Mendalia integrates with third-party services, including:

Medical databases
10.2. We do not guarantee compatibility, uptime, or security of third-party platforms.
10.3. Any issues arising from such integrations are the responsibility of the external provider.
11. SERVICE INTERRUPTIONS
11.1. Mendalia aims for high uptime but does not guarantee uninterrupted availability.
11.2. Planned maintenance or unforeseen outages may occur.
11.3. No financial compensation will be issued unless explicitly covered under a signed SLA.
12. TERMINATION
12.1. We may suspend or terminate access if you:

Breach any part of these Terms

Fail to pay subscription fees

Abuse or misrepresent the platform

Are required by law or medical authority
12.2. Upon termination:

Access to the Platform and data may be revoked

You remain liable for any outstanding fees or misuse
13. INDEMNITY
13.1. You agree to defend, indemnify, and hold harmless Sirohi Corporation Pty Ltd and its officers, employees, and affiliates from all legal claims or liabilities resulting from:

Use or misuse of Mendalia

Failure to comply with professional or legal obligations

Third-party claims related to clinical negligence or misinformation
14. LIMITATION OF LIABILITY
14.1. To the maximum extent permitted by law, Sirohi Corporation Pty Ltd shall not be liable for:

Any indirect, special, incidental, or consequential damages

Loss of profits, data, revenue, or patient safety events
14.2. Our total liability under these Terms shall not exceed the amount you have paid in the previous 12 months.
15. GOVERNING LAW AND JURISDICTION
15.1. These Terms shall be governed by the laws of South Australia.
15.2. All disputes shall be subject to the exclusive jurisdiction of the
courts of South Australia.
16. CHANGES TO TERMS
16.1. These Terms may be updated at any time.
16.2. Continued use of Mendalia after such changes will constitute acceptance.
17. ENTIRE AGREEMENT
These Terms, including our Privacy Policy, SLA, and any custom license or service agreement, constitute the full legal understanding between you and the Company.
